Audrey A.
McGuire, Chief Executive Officer
Ms. McGuire is the Chief Executive Officer
and founding partner of Emax Financial & Real Estate Advisory Services, LLC, established in 1989,
and a partner of Emax Fund, L.P, which invests in real estate
and unrated tax-exempt bonds. During her 26 years of investment
banking experience, Ms. McGuire has managed the development of
innovative financing strategies for over $12 billion of real estate
and related assets. |
She served as Engagement Manager
for the U.S. Department of Housing and Urban Development (HUD)
Asset Sales Program and for the U.S. Department of Veterans
Affairs enhanced use Leasing Program. Additionally, Ms. McGuire
served as Project Manager for the design of the 601 Program
for HUD and as Project Manager for a task order under the
Department of Education ("ED") leading a team to design
various asset management and disposition programs for ED's complex
defaulted student loan portfolio. Ms. McGuire served as the
Financial Advisor for trustees and bondholders on a $232 million
portfolio of defaulting Mutual Benefit tax-exempt bonds, as
loan sale advisor to the Resolution Trust Company for a $250
million portfolio, and as investment banker to the Industrial
Indemnity Company for a $120 million portfolio. Ms. McGuire
received a BSFS in International Economics from the School of
Foreign Service at Georgetown University. Ms. McGuire was previously
a General Securities Principal (Series 24), and Municipal Securities
Principal (Series 53) at a broker/dealer firm.

Jay McGuire, Chief Operating Officer
Mr. McGuire has joined Emax in the role of COO. Mr. McGuire
brings over 30 years experience in senior executive management,
operations management and consulting work.
His former consulting
practice spanned the U.S. and International marketplace and
included working with clients in the insurance, brokerage, and
transportation community as well as the real estate advisory
fields. |
| The vast majority of the
practice was devoted to strategic planning, pricing analysis,
analytical reporting, database design, work flow processes,
quality initiatives, compliance issues and project oversight.
Mr. McGuire graduated from St. John’s University in 1976
with a BS in Marketing. He was a Board of Director of the
Navigators and NIC insurance companies and former Chairman of
the Association of Average Adjusters of the United States.

Kristen Stierwalt-Huff, Regional Director
Ms. Stierwalt-Huff is a Regional Director in Emax Financial & Real Estate Advisory Services, LLC's Maryland office. She conducts market, pricing and
programmatic feasibility analysis regarding proposed mortgage
and mortgage-backed securities products and enhancements. Ms.
Stierwalt-Huff also analyzes the market for new securitization
programs targeting conventional loans and the impact on homeownership
rates. |
Ms. Stierwalt-Huff is also involved
in many aspects of the Military Housing Privatization initiative
from project concept and valuation to development of innovative
approaches for financial structuring and closing to achieve
the best value for the Services.
Prior to joining Emax Financial & Real Estate Advisory Services, LLC, she worked in Ernst & Young
LLP’s
Real Estate Advisory Services (REAS) practice. Ms. Stierwalt-Huff
has more than ten years of experience in the affordable housing
and finance industry that includes real estate underwriting,
loan servicing, and program and policy analysis. Her prior
experience also includes her role as a Program Director with
the Finance Group at The Enterprise Foundation and an Assistant
Research Director with the Research, Evaluation, and Documentation
Department. She has managed financial advisory engagements from
opportunity identification through to completion for public
and private sector clients including Ginnie Mae, Fannie Mae,
Department of Housing and Urban Development, Department of Veteran
Affairs and large international financial institutions.
Ms. Stierwalt-Huff has received Master of Public Policy from
Harvard University, a Bachelor of Arts in Economics with honors
from Howard University, is certified by the National Development
Council as a Housing Finance Professional and is pursuing CCIM
designation.

Sal Espinosa, Director
Mr. Espinosa is responsible for providing analytical, quantitative,
and financial modeling services to governmental clients. Currently
he provides analytical support for the Government National Mortgage
Association’s reverse mortgage securitization program. |
He participates in the analysis
of legal and operational issues surrounding the securitization
of home equity conversion mortgages and assists in the creation
of financial models to identify issues that may arise during
the life of the security. Additionally, Mr. Espinosa supports
the Air Force Military Housing Privatization Initiative.
Prior to joining the firm, Mr. Espinosa was an educator in
New York City. He received a BA from Harvard University and
graduated with honors.

Nikki
Padgett, Associate
Ms. Padgett has been associated with Emax for
over seven years, serving in both the New York and Maryland offices. Her primary responsibilities include
the oversight and coordination of Emax projects and general
workflow. She
also manages the firm’s contracting process, both in terms
of client and subcontractor relationships. |
Ms. Padgett has been engaged in
a providing financial advisory services for a number of governmental
clients. Most recently, she has been assisting the Air Force
in the privatization of military housing for various Air Force
installations. These projects include: Dover Air Force
Base, Tinker Air Force Base, and Hickam Air Force Base. Ms.
Padgett is responsible for the design of a critical path
to ensure optimal transaction process. Additionally, she
has been closely involved in the proposal review process and
has created procedures to achieve compliance with the Government’s
stated objectives.
Her support for the Department of Veterans Affairs includes
the procurement and coordination of third party consultants
who provide a range of reports including environmental assessments,
property appraisals, and title searches. She assists in
the development of briefings on behalf of the Asset Sales Office
of the Department of Housing and Urban Development and conducts
due diligence reviews for the sale of single family and multifamily
defaulted loans.
Prior to joining Emax Financial & Real Estate Advisory Services, LLC, Ms. Padgett was employed
by the Bank of New York where she acted as a liaison among various
operating teams in the Corporate Trust and Mortgage-Backed Securities
Group, and developed integral material including mortgage and
security related documentation. Ms. Padgett attended the
Borough of Manhattan Community College.

Kasey
Chaleunsouk, Associate
Mr. Chaleunsouk is responsible for providing analytical, quantitative,
and financial modeling services to governmental clients. Currently
he provides quantitative modeling support for the Federal Housing
Administration's asset sales program which entails the analysis
of the spectrum of single family and multi-family mortgage assets. Additionally
he supports the Department of Veterans Affairs’ enhanced-use
leasing program. |
Mr. Chaleunsouk develops financial
tools to ensure that programmatic undertakings are consistent
with the quantitative mandates of the program’s legal
underpinnings.
Mr. Chaleunsouk assists the Department
of Education in the oversight and monitoring of detailed
financial statements for the state Guaranty Agencies. The objective
is to confirm accuracy, and compliance with minimum reserve
ratios and other performance indicators. Prior
to joining the firm, Mr. Chaleunsouk supported the work of NYC2012,
the non-profit organization advocating New York City’s
bid for the 2012 Olympics. As an undergraduate, he was a
Ronald E. McNair Scholar with strength in independent research
and empirical analysis.
Mr. Chaleunsouk received a BA in Political Science from
Columbia University.

Jelani House, Associate
Mr. House is responsible for providing analytical, quantitative,
and financial modeling services to governmental clients. Currently,
he supports the Office of Secretary of Defense Housing and Competitive
Sourcing team in the oversight and management of the Military
Privatization Housing Initiative program. |
Mr. House is involved in the analysis
and documentation of current practices associated with the provision
of housing for military personnel. He also provides analytical
support for the Government National Mortgage Association’s
reverse mortgage securitization program.
Prior to joining the firm, Mr. House
worked as an assistant to the Financial Management Officer at
the U.S. Embassy in Beijing, China. At the U.S. Embassy,
he produced literature detailing many of the Financial Management
Office’s policies and protocols as they apply to American
diplomats living abroad. At the Financial Management Office,
Mr. House re-introduced a computer database for employee payroll
and served as a general editor for all unclassified official
documents published in the office.
He received a BA in Economics
and English from the University of Virginia.

Michael McGuire, Associate
Mr. McGuire provides analytical, quantitative and financial
modeling services for Emax clients. His work for the Department
of Veterans Affairs includes the development of reports for
the administrative oversight, monitoring and compliance maintenance
of various Enhanced-Use Leasing (EUL) transactions for which
the Office of Asset Enterprise Management (OAEM) is responsible. |
He also obtains and analyzes third
party environmental and appraisal reports for the OAEM.
Mr. McGuire’s work for HUD’s multifamily Asset Sales Program entails
cash flow projections and portfolio analysis. He also provides extensive due
diligence and the analysis of assets underlying loan portfolios. Modeling assignments
include the verification of market valuation models and analyses of HUD bid models
used to determine sale bid results.
Mr. McGuire graduated from Georgetown University,
receiving a BA in Psychology. Mr. McGuire then earned an MBA
in Marketing at St. John’s University. While obtaining his degree, he
was a Graduate Assistant in the Office of Business Affairs handling
cash flow related assignments.

Catherine Jones, Associate
Ms. Jones is responsible for providing analytical, quantitative,
and financial modeling services to governmental clients as well
as handling the administrative aspects of the firm’s operations. She
manages information and reports in connection with firm receivables
and payables and maintains communications with clients and vendors. She
oversees the organization of firm financial information for
tax, accounting, and audit purposes. |
Prior to joining the firm, Ms. Jones
was an Account Manager at JPMorgan Chase Hedge Fund Services. She
assisted in establishing and fine-tuning standard operating
procedures for the Transfer Agency group. Ms. Jones utilized
time-management skills to effectively multi-task between evaluating
and organizing investor and client information for several hedge
funds.
Ms. Jones graduated from the University At Albany where she
received her B.A. in Sociology.
